The Robotics Industry Development Council
Rules and Procedures


 (Official Name )
1. The official name of the organisation is the Robotics Industry Development Council hereinafter referred to as "the Development Council".

 (Purpose)
2. The primary function of the Development Council is to bind an array of corporations, academic organisations and concerned individuals in the field of robotics together, and lead them to promote and develop new technologies and to foster advances in this infant industry.

 (Objectives)
3. The purpose of The Development Council is to achieve the objectives of the previous article and further achieve the following objectives:
 (1) Undertake the planning and advancement of tasks concerning the development of the robotics industry.
 (2) Perform any other duties which The Development Council deems necessary in the achievement of its aims.

 (Membership)
4. The Development Council membership is composed of the following categories of organisations and individuals in agreement with its purposes and objectives .
 (1) Robotics related research facilities . Corporations involved in related manufacturing processes
 (2) Individuals involved in robotics-related research . Individuals involved in academic work in this field.
 (3) Any other persons or organisations who confer with the statement in Article 2

 (Eligibility)
5. Membership is open to any persons who desire membership of The Development Council and who submit an application to and gain approval from the Council President.

 (Voluntary Resignation)
6. Any member may withdraw from membership by submitting a written notice of resignation to the Council President .
 2 The Council President reserves the right to ask any member to resign membership of the Council if it is deemed that their actions or deeds have brought the name of The Devlopment Council into disrepute.

 (Advisors)
7. The Development Council may employ several advisors.
 2 Advisors will be appointed by the Council President
 3 Advisors will perform any tasks deemed necessary to the operations of The Development Council and in particular to answer any queries posed to them by the Council President , and to offer their opinions and advice.
 4 Each Counselor shall hold office for a term of 2 years with the option of renewal of term.

 (Executive Officers)
8. The Development Council shall also employ the following Executive Officers.
 (1) The Council President ( 1 person )
 (2) The Council Vice Presidents ( not more than 5 persons)
 (3) The Auditors (2 persons)
 2 The election of The Council President, The Council Vice Presidents, and The Auditors shall be conducted in a general meeting of the council.
 3 Executive Officers shall hold office for a term of 2 years with the option of renewal of term.
 4 Substitute Officers shall serve for the remaining unfulfilled term of the replaced officer.
 5 Even after a full term has been served, the duty of a vacating Executive Officer remains to be to render any assisstance necessary until the replacement Executive Officer is fully prepared to conduct the office's duties.

 (Office Duties)
9. \The Council President represents The Development Council, acting of its behalf and managing the general affairs of council.
 2 The Council Vice-President shall provide the Council President with necessary assistance, if the Council President is in any way incapacitated, the Council Vice-President shall replace the President, the Council Vice-President shall perform all tasks in the manner and order proposed by the Council President.
 3 The Auditors shall inspect and audit the accounts of council.

 (General Meeting)
10. ]If it is deemed necessary, a General Meeting will be called by the Council President, the Council President shall chair the meeting.
 2 The General Meeting shall be used to discuss and finalize matters related to the Rules and Procedures of council, and subsequently, the fundamental work of council and the duties and business of The Development Council.

 (Project Management Commitee )
11. The Development Council shall also employ a Project Management Commitee (hereinafter to be referred to as the Commitee)
 2 The Commitee shall be composed of a sole Commitee Chairman and a number
(not exceeding 20 ) of Commitee members.
 3 The Commitee Chairman and the Commitee members shall be appointed by the Council President.
 4 The Commitee Chairman shall act as the head of the Commitee.
 5 If the Commitee Chairman is incapacitated in any way, a replacement shall be designated from among the Commitee members. The designated member shall assume full duties of office.
 6 The Commitee shall execute all matters in accordance to Article 3 of the Rules and Procedures , the Commitee members shall also be obligated to perform all duties the Commitee Chairman deems necessary.
 7 Any further tasks deemed necessary for the operation of the Commitee may be delegated and decided by the Commitee Chairman.

 (Sectional Meetings)
12. For the purposes of conducting of surveys and research on behalf of the Development Council, a Sectional Meeting may be convened.
2 Any further tasks deemed necessary for the operation of a Sectional Meeting shall be conduted separately by the Project Management Commitee.

 (Expenses)
13. The Development Council shall hold an expense account collected from membership fees and sundry income.

 (Membership fees)
14. All matters related to membership fees of theDevelopment Council shall be separately decided and approved by the Council President at a General Meeting.

 (The Business Year)
15. The business year of the Development Council shall commence on April 1st and conclude on March 31st.

 (Offices)
16. The offices of the Fukuoka Prefectural Government, Fukuoka City and Kitakyushu City shall conduct matters concerning business and office duties of the Development Council.

 (Supplementary Rules)
17. Any supplementary rules not aforementioned deemed necessary for the operation of the Development Council shall be separately decided by the Council President.

  Attachment
1 These Rules and Procedures come into effect on July 4th 2003.
2 Contrary to Article 15, the first business year shall commence on the aforementioned date (July 4th 2003) and conclude March 31st of the following year.
